If you do not agree, do not use the Platform.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For purposes of these Terms, &#8220;Staff HR,&#8221; &#8220;we,&#8221; &#8220;us,&#8221; and &#8220;our&#8221; refers to Staff HR and its affiliated entities, as applicable. &#8220;You&#8221; and &#8220;your&#8221; refers to the individual accessing the Platform, and, if relevant, the company or organization you represent.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms are intended to be read together with our Privacy Policy, which describes how we collect and use personal information.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">1. Acceptance of the Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You accept these Terms by (a) visiting or using any portion of the Platform, (b) creating an account, (c) submitting an application or resume, (d) posting a job or requesting staffing services, or (e) clicking an &#8220;Accept&#8221; or similar button when presented with these Terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you are using the Platform on behalf of another person or an organization, you represent that you have authority to bind that person or organization to these Terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2. Changes to the Platform or the Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may update the Platform and these Terms from time to time. Changes to the Terms become effective when we post the updated version, unless we specify a different effective date. Your continued use of the Platform after changes take effect means you accept the revised Terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">3. Eligibility and Responsible Use<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You may use the Platform only if you can form a legally binding agreement and are permitted to use the Platform under applicable law. The Platform is not designed for children under 13. If you are under 18, you may use the Platform only with the involvement of a parent or legal guardian.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. What Staff HR Provides<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Staff HR helps connect candidates with employment opportunities and helps employers and clients find talent. The Platform may include job listings, application workflows, communications, and tools for scheduling, onboarding, and related services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Staff HR does not guarantee that you will receive a job offer, be hired, receive interviews, or fill an open position. Employment decisions are made by the relevant employer or client, subject to applicable law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Accounts, Credentials, and Security<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Certain Platform features may require an account. You agree to provide accurate information, maintain it as current, and keep your login credentials confidential. You are responsible for activity that occurs under your account. Notify us promptly if you suspect unauthorized access.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend or terminate accounts, or restrict access, if we reasonably believe an account is compromised, used unlawfully, or used in a manner that violates these Terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Electronic Communications<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">By using the Platform, you consent to receive communications from us electronically (for example, by email, SMS, in-app messages, or notices posted on the Platform). These communications may include account messages, service notices, and administrative updates.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where required by law, we will provide choices or obtain consent for certain communications. Standard message and data rates may apply for SMS.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Acceptable Use and Prohibited Activities<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to use the Platform for lawful purposes and in a respectful, professional manner.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You may not, and may not help others to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Violate any applicable law, regulation, or third-party right (including privacy and intellectual property rights).<\/li>\n\n\n\n<li>Post or transmit content that is deceptive, defamatory, obscene, threatening, harassing, hateful, or otherwise inappropriate.<\/li>\n\n\n\n<li>Upload or transmit malware, or attempt to disrupt, damage, or interfere with the Platform\u2019s security or operations.<\/li>\n\n\n\n<li>Attempt to gain unauthorized access to accounts, systems, or data, or probe or test security vulnerabilities.<\/li>\n\n\n\n<li>Use scraping, crawling, bots, or other automated means to access the Platform without our prior written permission.<\/li>\n\n\n\n<li>Collect personal information about others without permission, or misuse contact information for unsolicited marketing.<\/li>\n\n\n\n<li>Impersonate another person or misrepresent your affiliation with any person or organization.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">8. Content You Provide (Applications, Resumes, Messages, and<br>Other Submissions)<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Platform may allow you to submit information or materials such as resumes, applications, profile information, messages, or other content (&#8220;User Content&#8221;). You are responsible for your User Content and for ensuring that it is accurate and lawful.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By submitting User Content, you grant Staff HR a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify (for formatting and processing), and share the User Content as necessary to operate the Platform, provide staffing services, comply<br>with legal obligations, and protect the safety and integrity of our services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We do not claim ownership of your User Content. However, you represent that you have the rights and permissions needed to submit it, including any consents required to share references, work history, or other third-party information.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Moderation, Monitoring, and Enforcement<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may review, remove, or restrict content or access to the Platform if we believe it violates these Terms, poses risk to users, or is otherwise inappropriate. We are not obligated to monitor all activity or content, and we do not guarantee that we will remove all problematic content.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10. Intellectual Property and Limited License<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Platform, including its design, software, text, graphics, logos, and other materials, is owned by or licensed to Staff HR and is protected by intellectual property laws. Subject to these Terms, Staff HR grants you a limited, revocable, non-transferable license to access and use the Platform for your personal, non-commercial use (or, if you are an employer\/client, for your internal business use solely in connection with staffing-related activities).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Platform.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">11. Third-Party Services and Links<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Platform may link to third-party websites or services. We do not control those third parties and are not responsible for their content, policies, or practices. Your use of thirdparty services is at your own risk and subject to their terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. Feedback<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If you submit ideas, suggestions, or feedback, you agree we may use them without restriction or compensation, and without any obligation to keep them confidential, unless required by law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">13. Disclaimers<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">THE PLATFORM IS PROVIDED &#8220;AS IS&#8221; AND &#8220;AS AVAILABLE.&#8221; TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAFF HR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">14. Limitation of Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAFF HRWILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">TO THE EXTENT LIABILITY IS NOT EXCLUDED, STAFFHR\u2019S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID (IF ANY) TO STAFF HRFOR THE PLATFORM FEATURES THAT GAVE RISE TO THE CLAIM DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">15. Indemnification<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to defend, indemnify, and hold harmless Staff HR and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys\u2019 fees) arising out of or related to: (a) your use of the Platform, (b) your User Content, or (c) your breach of these Terms or violation of law or third-party rights.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">16. Suspension and Termination<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend or terminate your access to the Platform at any time if we reasonably believe you have violated these Terms or if we must do so to protect the Platform, our users, or third parties. You may stop using the Platform at any time.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">17. Dispute Resolution; Arbitration; Class Action Waiver (U.S. Users)<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">THIS SECTION AFFECTS YOUR LEGAL RIGHTS. Except for the exceptions expressly set forth below, you and Staff HR agree that most disputes will be resolved through binding individual arbitration, and not by a trial in a court of law, a jury trial, a class action, a consolidated action, or a representative proceeding.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Pre-Arbitration Informal Dispute Resolution: Before initiating any legal or arbitration proceeding, the party raising a dispute must provide the other party with a written notice outlining the nature of the claim, the core facts supporting it, and the requested relief. You and Staff HR agree to attempt to resolve the dispute informally and in good faith for a period of thirty (30) days from the date such notice is received. Neither party may commence formal arbitration before the expiration of this period, except where urgent<br>relief is required to protect intellectual property rights, confidential information, Platform security, or other rights that could suffer irreparable harm.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Arbitration Agreement: If the dispute is not resolved through the informal process set forth above, you and Staff HR agree that any conflict, claim, or controversy arising out of, relating to, or derived from these Terms, the use of the Platform, communications<br>with Staff HR, or recruitment, placement, employment, staffing, or human resources services offered by Staff HR, shall be resolved exclusively through binding individual arbitration administered by JAMS or the American Arbitration Association (AAA), in accordance with the applicable rules of the respective arbitration provider, except to the extent such rules are inconsistent with these Terms or applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Exceptions to Arbitration: Notwithstanding the foregoing, either party retains the right to: (1) bring an individual claim in small claims court, provided the dispute qualifies within the jurisdictional limits of such court; (2) seek injunctive, provisional, or emergency relief before a court of competent jurisdiction to protect intellectual property rights, confidential information, systems security, data, accounts, or trade secrets; or (3) exercise any right that, under applicable law, cannot be compulsorily submitted to arbitration.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Arbitration Costs: Payment of all filing, administration, and arbitrator fees shall be governed by the applicable rules of JAMS or the AAA and by applicable law. Where required by law, including California law when applicable, Staff HR shall pay all administrative costs and arbitrator fees that exceed the amount you would have been required to pay to file a comparable claim in a court of general jurisdiction, unless the arbitrator determines that the claim was brought in bad faith, for an improper purpose, or is manifestly frivolous.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Class and Representative Action Waiver: To the maximum extent permitted by applicable law, you and Staff HR agree that any claim must be brought solely in an individual capacity. You and Staff HR waive the right to participate as a plaintiff, class member, or representative in any class, consolidated, mass, representative, or similar action. The arbitrator shall have no authority to hear claims of more than one person, consolidate proceedings, preside over a class or representative action, or award relief in favor of persons other than the individual parties to the arbitration, except to the extent such limitation is prohibited by applicable law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Public Injunctive Relief: Nothing in this section is intended to preclude an individual from seeking public injunctive relief where such right cannot be waived under applicable law, including California law when applicable. Any request for public injunctive relief that cannot be submitted to arbitration shall be heard by a court of competent jurisdiction, and the parties agree that, to the extent permitted by law, such court proceeding may be stayed pending the resolution of the individual claims subject to arbitration.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Right to Opt-Out of Arbitration: You have the right to reject this arbitration agreement. To exercise this right, you must send a written notice to [insert legal\/support email] within thirty (30) days of the date you first created your account, first used the Platform, or accepted these Terms, whichever occurs first. The notice must include your full name, the email address associated with your account, a clear statement that you wish to opt out of the arbitration agreement, and your physical or electronic signature. If you validly exercise this right, the remaining provisions of these Terms will continue to apply.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">18. Governing Law and Venue<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Unless otherwise required by applicable law, these Terms are governed by the laws of the state where Staff HR is headquartered, without regard to conflict-of-laws principles. Where arbitration does not apply or is not enforceable, you agree to exclusive jurisdiction and venue in the state and federal courts located in that state, unless applicable consumer protection laws provide otherwise.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">19. Time Limit to Bring Claims<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Where permitted by law, any claim arising out of or relating to the Platform or these Terms must be filed within one (1) year after the claim accrues; otherwise, the claim is permanently barred.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">20. Miscellaneous<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Severability: If any provision is held unlawful or unenforceable, the remaining provisions will remain in effect.<\/li>\n\n\n\n<li>No Waiver: Failure to enforce a provision is not a waiver of our right to do so later.<\/li>\n\n\n\n<li>Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms as part of a corporate reorganization, merger, or sale of assets.<\/li>\n\n\n\n<li>Entire Agreement: These Terms and the Privacy Policy form the entire agreement<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">21.
